Who we are
Kewka LLC ("Kewka," "we") operates the Kewka Hub at kewka.ai. Questions about these terms go to privacy@kewka.ai.
What these terms cover
These terms govern access to and use of the Kewka Hub and the kewka.ai website (together, the "Service"). By signing in to or using the Service you agree to them. If you are using the Service on behalf of a dealership, you confirm that you are authorized to do so, and "you" includes that dealership.
Where a dealership has a signed agreement with Kewka, that agreement governs pricing, service levels, data handling commitments and any point on which it differs from these terms.
Who may use the Service
The Service is a business tool for automobile dealerships and the people they authorize. It is not directed to anyone under 18 and may not be used by consumers for personal purposes.
Seats and sign-in
Access is by seat. A dealership decides who holds a seat and what each seat may see. You sign in with your dealership business email through your dealership's sign-in provider. You are responsible for keeping your sign-in secure and for activity under your seat. If your email is not on your dealership's seat list, you have no right to use the Service.
The dealership's data
The dealership owns the business data it sends to Kewka and the records it makes visible. Kewka's handling of that data is described in the Kewka Privacy Policy at kewka.ai/privacy, which forms part of these terms. In short: Kewka stores the data, checks every request against the access the dealership set, returns only what a seat is allowed to see, and uses the data for no purpose other than operating the Service for that dealership.
The dealership is responsible for having the right to send Kewka the data it sends, including any personal information about its customers, and for the instructions it gives Kewka about that data.
Connected applications
A dealership may connect applications of its own choosing to read its data through Kewka. Those applications, and the dealership's own data vendors, are the dealership's contracts and responsibility. Kewka is not responsible for how a connected application stores, uses or presents what it receives.
Acceptable use
You agree not to: access data your seat has not been granted, or attempt to; share sign-in credentials or let anyone else use your seat; use the Service to violate any law or any third party's rights; interfere with the Service's operation or security; or copy, resell or provide the Service to anyone outside the dealership's authorized users.
Availability and changes to the Service
We work to keep the Service available and may change, add or remove features. We may suspend a seat or a dealership's access to protect the Service, its data or other dealerships, and we will tell the dealership's principal contact when we do.
Fees
Fees, if any, are set out in the dealership's agreement with Kewka.
Term and termination
These terms apply for as long as you use the Service. A dealership may stop using the Service at any time and may ask us to delete its data; retention and deletion are described in the Privacy Policy. We may end access for a material breach of these terms.
Disclaimers
The Service is provided "as is" and "as available." Kewka does not warrant that the Service will be uninterrupted or error-free, or that any data a dealership sends to it is accurate or complete. Decisions a dealership makes using its data remain the dealership's own.
Limitation of liability
To the extent permitted by law, Kewka's total liability for any claim relating to the Service is limited to the fees the dealership paid Kewka for the Service in the twelve months before the claim, and Kewka is not liable for indirect, incidental, consequential or punitive damages, or for lost profits or lost data, except where the law does not allow that limitation.
Governing law
These terms are governed by the laws of the State of Nevada, without regard to its conflict of laws rules. Any dispute will be brought in the state or federal courts located in Clark County, Nevada, unless the dealership's agreement with Kewka says otherwise.
Changes to these terms
When these terms change, we update the date at the top and keep prior versions available on request. Material changes are notified to each dealership's principal contact.
